b. The biggest problems in every agreement cause had-core clauses. Between competitors they are clauses (których celem jest ustalenie) prices, restrictions of production and sale, share out the market. In cotracts between non-competitors they are clauses (których celem jest uniemożliwienie nabywcy ustalania cen odsprzedaży, ograniczanie obszaru zbytu) or clients, (ograniczanie sprzedaży aktywnej lub pasywnej lub dostaw wzajemnych w systemach dystrybucji selektywnej).
In Article 81 (1) EC Treaty we have exemptions of such clauses:
· Pricing and conditional agreements
· Quota agreements
· Share markets or sources of supply agreements
· Discriminating agreements
· Agreements imposing supplementary trading obligations
Prohibition from Article 81 (1) EC Treaty is deterrent and has direct effect – agreement with such clause is automatically valid. It is also valid ipso iure – so it results in relations not only between paties but also against third parties. They can set up a claim for abadonment, for compensation or for baseless enrichment.
